CONTRACTOR/SUBCONTRACTOR AGREEMENT

THIS AGREEMENT is made the [Enter Day] day of [Enter Month] year [Enter Year]

BETWEEN:

WHEREAS:

[Enter Company Name] (the ‘Company’) for the performance of certain works (the ‘Works’),
B. The Contractor wishes to subcontract certain portions of the Works to the Subcontractor.

NOW IT IS HEREBY AGREED as follows:
1. The Subcontractor, as an independent contractor, agrees to furnish all of the labour and materials as may
reasonably by required to complete the following portions of the Works:

3. The Subcontractor agrees to perform this work in a workmanlike manner according to standard practices. If any plans or specifications are part of this job, they are attached to and form part of this agreement.

4. The Contractor agrees to pay the Subcontractor £[Enter Amount] as payment for the full performance of its obligations hereunder. This sum will be paid to the Subcontractor on satisfactory completion of the work in the following manner and on the following dates:

5. The Contractor and Subcontractor may agree to extra services and work, but any such extras must be set out and agreed to in writing by both the Contractor and the Subcontractor.

6. The Subcontractor agrees to indemnify and hold the Contractor harmless from any claims or liability arising from the Subcontractor’s work under this Contract.

7. No modification of this agreement will be effective unless it is in writing and is signed by both parties. This agreement binds and benefits both parties and any successors. Time is of the essence in this agreement. This document, including any attachments is the entire agreement between the parties.
